The Memorandum of association contains 6 different clauses and the object clause is one of them. Every company is formed for specific business activity. Business activity enables others to understand the scope of the Company. If a company works beyond the activities mentioned in the Main objects of the MOA, then it will be void ab initio.

HERE'S HOW IT WORKS
Procedure to Alter the object clause of Memorandum of Association of the Company
Issue a Board notice with the agenda of the meeting at least seven days before the meeting date.
Pass a Board Resolution for alteration of main objects of the Company and to alter MOA.
Issue notice of general meeting at least 21 days before the date of meeting to the shareholders of the Company for according their approval
Accord the approval of members by way of special resolution to change the main objects of the Company and to alter the Memorandum of Association of the Company.
File necessary resolutions in form MGT-14 within 30 Days from the date of passing of special resolution
Subsequent to the filing of the e-form MGT-14, steps must be taken to change all the copies of the Memorandum of Association of the Company.

Memorandum of Association is an abbreviation of MOA. MOA represents the charter of the company which is being registered. It defines the scope of rights and responsibilities within which the business operates. Memorandum of Association helps the shareholders, creditors, and other stakeholders dealing with the company to know the rights and powers of the company.
A restriction has been imposed on those companies which have an unutilized amount of money raised through the issue of prospectus. Such Companies need to publish special resolutions in English newspapers and in a vernacular language newspaper having video circulation at the place where the registered office of the company is situated.
Earlier object clauses comprised 5 clauses which are now deleted under Companies Act 2013, now it has only two object clauses remain in the new online form SPICe-33 for MOA, i.e.
1. Main Objects; and
2. Ancillary Objects
New E-form INC-33 is an online SPICE form for MOA which is to be filed while incorporating the Company along with SPICe Plus 32. Thus the Company needs not to file this online form again with form MGT-14 for authentication of alteration. Attaching a physical copy of the MOA with MGT-14 will be sufficient.
